Investor residency and foreign ownership

This guide sets out the conditions and limits of foreign ownership in the Kingdom of Bahrain by activity, the conditions, documents and duration of investor residency, and its relationship to the commercial registration and to capital.

Foreign ownership

Bahrain allows a foreign investor to own a company one hundred per cent in most economic activities, with no local partner and no sponsor. This is a standing feature of the system, not an exception to be applied for.

Full ownership is not universal, though. Some activities are reserved for nationals or for citizens of the Gulf Cooperation Council states, some require a share of local participation, and some are regulated under licences issued by supervisory bodies. Any formation study therefore begins with the activity itself, not with the legal form.

The first step is always the same: identify the activity in the unified economic activities directory. From it follow the ownership limits, the conditions and the licences required.

Investor residency

Investor residency attaches to a commercial registration rather than to an employer. It is issued to the investor as an owner or partner in a company registered in the Kingdom, and renewed for as long as the registration stands and the conditions of the category are met.

Basis
A valid commercial registration in the company's name, with the investor's share recorded in it.
Documents
A valid passport, a photograph, the company's documents, and whatever medical checks and insurance the authority requires.
Route
The application follows the issue of the commercial registration, and the identity card follows it.

Category conditions and their thresholds differ by the size and nature of the investment. Because these conditions are updated, they are checked case by case before any application is filed.

Self-sponsorship: conditions and fees

An investor has a self-sponsorship residency route at Nationality, Passports and Residence Affairs, with published conditions and fees. These weigh most on the decision:

  • A share in the company of no less than 100,000 BHD
  • A stable income of 500 BHD or more
  • A valid medical insurance certificate issued in Bahrain
  • A certificate of good conduct

What to work out early: the share and income conditions are examined before the activity and the capital are settled, not after the registration issues. And forty working days belongs in the plan of any investor timing a move.

A second route: the golden residency. A permanent residency covering spouse, children and parents, allowing employment and multiple entry. It runs 10 years and costs 5 BHD to apply, non-refundable, and 300 BHD to issue per person. It has several eligibility tracks — talented individuals, property owners, resident employees and retirees — at the same fee, and its conditions differ from self-sponsorship.

Residency for the family

An investor may bring family members on dependant residency: a spouse and children within the prescribed conditions. Their applications follow once the investor's own residency is settled, and need attested documents proving the relationship.

Dependant residency follows the sponsor's, so if the principal lapses the dependants lapse with it. The investor's renewal and the family's are therefore tracked in a single calendar.

The bank account

Opening a bank account is a step separate from formation, and the decision belongs to the bank rather than to any government authority. Banks ask for know-your-customer documents: the company's papers, a statement of the activity, the source of funds, and the investor's commercial record.

The investor's presence in person is usually required at this stage, even where the rest of the formation was completed under a power of attorney. The office's part here is preparing the file and attending the appointments, not guaranteeing approval.

What keeps residency valid

  • A commercial registration that has not lapsed
  • The investor's shareholding remaining such that the category's conditions still hold
  • Renewing the residency before it expires, not after
  • Meeting the medical checks and health insurance the authority requires
